Corporate Counsel

Verogy is in the midst of a significant growth phase, given a significant recent long-term investment to scale the organization’s operations and team. As such, we are adding a new position, Corporate Counsel, to ensure we have dedicated resources to lead, manage and implement the daily legal operations.

The Corporate Counsel will report to the Chief Executive Officer (CEO) and Chief Legal Officer (CLO) and will be directly responsible for managing all day-to-day legal aspects of the company’s operations, including but not limited to drafting, negotiating and finalizing all major project agreements, developing a more robust legal document repository for use across Verogy’s business and project development efforts, assisting in closing project finance and corporate finance transactions through transaction document review and negotiation, and aiding the rollout of Verogy’s project pipeline through applicable legal and transactional efforts.

This is a terrific opportunity for a recent law school graduate who has either worked in a firm but desires to move in-house with a focus on transactional legal work and/or a recent graduate who seeks to go directly in-house, take on significant responsibility “day one”, and expand and continue to raise the bar of a 6-year-old start up legal function. The ideal candidate is a self-starter, highly organized and detail oriented, and has the ability to work independently as well as cross-functionally / part of a dynamic team.

Primary Responsibilities

  • Assume day-to-day leadership of the legal department in consultation with the CLO.
  • Partner with the Business Development (BD) and Engineering, Procurement and Construction (EPC) teams to understand and manage legal needs and contract requests.
  • Coordinate with the engineering, finance, and asset management teams to effectuate any necessary project transfers, contract assignments, and contract amendments, where applicable.
  • Draft initial project agreements for counterparty review, including but not limited to:
    • Power Purchase Agreements (PPAs), Solar Lease Agreements (SLAs), and other offtake agreements
    • Site Lease Agreements
    • Solar System Turnkey Purchase and Sale Agreements
    • EPC Agreements
    • Subcontractor Agreements
  • Negotiate project agreements with relevant counterparties, including clients, vendors, suppliers, and subcontractors.
  • For project financing transactions, assist in the review and negotiation of financing agreements and documentation, in concert with outside counsel, to effect a close of key financing transactions to support the deployment of Verogy’s project pipeline.
  • Draft and provide disclosure schedules for project finance and corporate finance transactions, as well as at key points in the development of Verogy’s project pipeline.
  • Stay current on key legislation and statutory frameworks that impact solar project development in different markets, including tax credits, property taxes, and project siting.
  • Provide accurate, relevant, and timely advice to Verogy and its business units on a variety of legal topics that relate to the business sector and their products or services.
  • Manage external legal needs and coordinate with external legal resources (e.g. outside law firms) to accomplish tasks as necessary.
  • Develop understanding of Verogy’s organizational structure and coordinate necessary entity formation, management, and drafting of organizational documents (e.g. LLC operating agreements).
  • Update and improve upon Verogy’s template legal document repository for use on various project types, contract structures, and development stages.

Qualifications & Skills

  • Juris Doctor Degree and Bar certification (ideally in the State of Connecticut, but other jurisdictions are acceptable).
  • Strong understanding and knowledge of commercial and transactional law.
  • Solar, construction or finance experience is not required but is a plus.
  • Experience with commercial financing transactions, including tax equity investments and traditional debt instruments, is a plus.
  • Strong communication, negotiation, and presentation skills.
  • Proficient computer skills and experience with MS Word, MS Excel, Outlook, etc.
  • The ability to work in a rapidly evolving environment and develop creative solutions to challenges that arise.
  • The ability to plan, schedule, and coordinate efforts across multiple projects at a time.
  • Demonstrated ability to proactively manage multiple projects simultaneously while managing to deadlines for multiple stakeholders.

Business Development Analyst

Verogy has entered a significant growth phase and is expanding our team from ~30 to ~40 in 2023, and we anticipate a similar or greater growth trajectory in the coming years. In addition to bringing on several new team members, we are seeking to optimize several processes and systems that will enable our business development (sales) efforts. To that end, we are seeking a terrific Business Development Analyst to execute the generation and delivery of proposals for our prospective clients.

As a Business Development Analyst, you will bring your passion for renewable energy, an orientation to detail, and working knowledge of Microsoft Excel to play a key role in the management and delivery of timely, accurate, detailed, and economically viable project proposals to our prospective clients. In this role, you will develop deep, detailed knowledge about the financial drivers of economically successful solar projects, the state-level incentive programs that support increased deployment of solar projects, and the ownership structures that exist to enable a variety of parties to own solar projects.

You will work directly with our collaborative and egalitarian 5-person Finance team, which includes two of the company’s founders. You will work directly with our two long-tenured Business Development Analysts, who are experts in using our financial models to produce project proposals. You will also work cross-functionally with members of our engineering team, in order to gather the inputs necessary to complete your analyses.

The ideal candidate for this role is detail oriented, self-motivated, coachable, has strong judgment, and possesses outstanding communication and collaboration skills. Your focus and productivity as a Business Development Analyst will ultimately enable revenue generation for the firm, and will also provide significant exposure to the founding team.

This role reports to the Chief Financial Officer. While this can be a remote work arrangement, we are ideally looking for someone within driving distance to our West Hartford, CT office so you can come into the office at least 2x a month to develop relationships with your colleagues.

Responsibilities: 

Proposal Generation (75%)

  • Working with our Microsoft Excel financial model, Business Development (sales) personnel, existing Business Development Analysts, and our colleagues in engineering to gather, organize, analyze, and propose economically viable projects

Solar market policy and incentive review and upkeep (15%)

  • Gather understanding of state and federal level incentives available for applicable projects and incorporate into financial analysis and proposal work product

Task support for Finance Department colleagues (10%)

  • Bachelor’s or master’s degree in Business, Finance, Marketing, or relevant field
  • Solar development / sales experience (is a plus but not required)
  • Two (2) + Years of professional experience is preferred
  • Ability to understand and manipulate financial models
  • Proficient computer skills and experience with Microsoft Excel, PowerPoint, and Outlook
  • Salesforce experience is a plus

Talent Operations Manager

We are seeking a terrific Talent Operations Manager to support and manage our talent operations. As Talent Operations Manager, you will play a key leadership role in staff recruiting and onboarding; human resources operations; team building and culture activities; and diversity, equity and inclusion priorities. In this role, you will support all aspects of full-cycle staff recruitment, onboarding, systems management and process optimization. You will play a critical role in helping deliver an exceptional employee experience and enabling the work of the growing team. You will foster high levels of collaboration and coordination across our team to ensure effective service delivery and agility to achieve Verogy’s business priorities.

This is a newly created position and one in which you will be a key contributor to the ongoing growth of our team; as such, you will have an opportunity to help craft the scope of the role and build various aspects of Verogy’s people function from the ground up.  This role will offer you significant exposure to partner with the founding executive team, as well as exciting opportunities to learn and grow with the organization as a rising People executive.  The ideal candidate for this role is self-motivated, has strong judgment, and possesses outstanding project management, communication, and collaboration skills.  You enjoy building processes and building efficiencies with input from the end user, as well as adjusting based on what we are learning over time. 

This role reports to the Chief Legal Officer. While this is largely a remote work arrangement, we are looking for someone in driving distance to our West Hartford, CT office so you can come into the office at least 2x a month as well as during the days when new team members are onboarding (typically 2-3 days in a row) and during our annual audit (and we welcome you to work out of the office as often as you like). 

Responsibilities: 

Enabling Staff Recruitment (40%)

  • Serve as the project manager on new staff recruitment, ensuring there is clear hiring criteria, managing a well thought out evaluation process for each role, and scheduling with both hiring managers and candidates
  • Partner with hiring managers to create compelling and clear job descriptions, rooted in a deep commitment to DEI
  • Increase our visibility as an employer of choice – building new networks and recruitment channels, posting jobs and maintaining contact with high-potential referrals
  • Screen all completed applications to determine who should move to phone screen round
  • Conduct initial phone screens for each open position and track notes and recommendations for hiring manager 
  • Support candidates and hiring managers in scheduling, documentation, and setting expectations for further interview rounds
  • Track the success of various recruitment channels 
  • Prepare offer letters and any initial new-hire paperwork and communicate clearly and respectfully with candidates not selected
  • Partner with external staff recruitment professionals to source mid-level and senior-level roles

Supporting New Hire Integration and Personnel Management (40%)

  • Manage the creation and coordination of onboarding plans alongside hiring managers and the founding team, including drafting a plan for new hires’ onboarding week, scheduling meetings, and communicating with key stakeholders about the new hire’s start date
  • Draft and send new hire announcements and other relevant communications that involve staffing/HR
  • Distribute, collect, and track new hire paperwork (payroll, insurance, confidentiality agreement, etc.)
  • Support enrollment in benefits for new staff and ongoing benefits changes for all staff
  • Act as the first point of contact for any benefits and payroll questions (within first 6 months)
  • Prepare new hires to be successful with technology and equipment including: email, Salesforce, laptop, phones, access cards, etc. 
  • Identify, implement, and maintain a leave management system for tracking sick time and paid time off 
  • Oversee all personnel files and ensure completeness and compliance with policies and regulations
  • Partner with external partner to select and implement an HRIS (ADP)-compatible Applicant Tracking System for prospects and candidates 

Additional Responsibilities (20%)

  • Coordinate the self-evaluation and performance management processes, alongside the senior team and external HR partner including first three month integration review and annual performance management process.
  • Plan, implement, and assess the success of team building activities (e.g. ball games, dinners, other unique recognition events)
  • Partner with the senior team to effectively offboard team members, as relevant (close accounts, ensure paperwork completion, oversee return of equipment, etc)

  • You have at least 5 years of experience in a talent related function (talent recruitment, recruitment operations, human resources, or the like); SHRM or similar affiliation is a nice to have
  • You have a track record of success working with team members at all levels of an organization
  • You are fluent and comfortable with providing technology support for tools such as Salesforce, Google Suite, and have at least a working knowledge of HRIS and ATS systems

Procurement Manager

The Procurement Manager will work under the direction of the head of the Engineering, Procurement and Construction (EPC) Department.  The Procurement Manager’s responsibilities will include but not be limited to managing the procurement of Major System Components (MSC) in coordination with the engineering and construction teams.

Responsibilities

  • Maintain strong relationships with suppliers and vendors to ensure that the Company’s procurement needs are being met.
  • Identify new potential suppliers and manage the supplier qualification process with our in-house and third-party financial and technical teams.
  • Lead contract negotiations with suppliers to secure advantageous terms, with support from Verogy’s legal team.
  • Approve purchases for the construction and operations teams.
  • Manage current procurement policies and work to enhance or develop new policies that support key business objectives.
  • Build market intelligence that will direct pricing and product availability assumptions to the proposal generation team.
  • Track and report on purchasing data points to reduce project expenses.
  • Manage the RFQ (Request for Quote) process for MSC components.
  • React and adapt procurement strategies to ever-changing market conditions.
  • Support the construction and accounting teams with material delivery and billing related items.
